Pumpynotes Terms of Service

These Terms of Service ("Terms") form a binding legal agreement between you and Pumpynotes ("Pumpynotes", "we", "us", or "our") and govern your access to and use of the Pumpynotes website, applications, and related services (collectively, the "Service"). Pumpynotes is a web-based productivity application that brings together a calendar, block-based notes, and multi-currency personal and business finance tracking in a single workspace, including shared team workspaces. Please read these Terms carefully before using the Service. By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. The Service is currently offered in public beta.

1. Acceptance of the Terms

By creating an account, accessing, or otherwise using the Service in any way, you acknowledge that you have read and understood these Terms and that you agree to be legally bound by them. If you do not agree with any part of these Terms, you must not access or use the Service.

If you are using the Service on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case the words "you" and "your" refer to that entity. Where you create or join a shared team workspace, the person who administers that workspace is responsible for ensuring that all members of the workspace comply with these Terms.

These Terms incorporate by reference any policies, guidelines, and additional terms that we publish and make available within the Service, including our Privacy Policy. Together, these documents govern your use of the Service.

2. Description of the Service

Pumpynotes provides a unified online workspace that combines a calendar, block-based note-taking, and multi-currency tracking of personal and business finances. The Service also supports shared team workspaces in which multiple users may collaborate, view, and edit content according to the permissions configured by the workspace administrator.

The Service is offered as software as a service, accessed over the internet through a web browser or compatible application. We may, from time to time, add, modify, or remove features, change the user interface, or adjust the way the Service operates in order to improve it, address technical or security needs, or comply with legal requirements.

Certain features of the Service depend on third-party providers, on a continuous internet connection, and on the availability of our hosting infrastructure. We do not guarantee that the Service, or any particular feature, will always be available, uninterrupted, or error-free, particularly during the public beta period described below.

3. Eligibility and Account Registration

To use the Service you must be at least 18 years of age, or the age of legal majority in your jurisdiction, and capable of forming a binding contract. By using the Service you represent and warrant that you meet these requirements and that all registration information you provide is accurate, current, and complete.

To access most features you must create an account. You agree to keep your account information up to date and to provide truthful information during registration. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us promptly at [email protected] if you become aware of any unauthorized access to or use of your account or any other breach of security.

You are responsible for safeguarding access to your account, including any passwords and authentication factors. We are not liable for any loss or damage arising from your failure to protect your credentials or from unauthorized use of your account that results from such failure. You may not share your account with others, except through the legitimate collaboration features we provide, and you may not transfer your account to another person without our prior written consent.

4. User Responsibilities and Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You are solely responsible for your conduct while using the Service and for any content you create, upload, store, or share through it. You agree to comply with all applicable laws and regulations, including data protection laws, in connection with your use of the Service.

You must not, and must not permit anyone else to: use the Service in any way that violates any applicable law or regulation, or that infringes the rights of any third party; upload, store, or transmit any content that is unlawful, defamatory, obscene, harassing, or that contains malware, viruses, or other harmful code; attempt to gain unauthorized access to the Service, to other users' accounts, or to any systems or networks connected to the Service; interfere with, disrupt, overload, or impair the integrity or performance of the Service or its underlying infrastructure; reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service, except to the extent such restriction is expressly prohibited by applicable law; resell, sublicense, rent, lease, or otherwise commercially exploit the Service without our prior written authorization; use automated means such as scrapers, bots, or crawlers to access or collect data from the Service in a manner not expressly permitted by us; or use the Service to send unsolicited communications, spam, or to engage in any fraudulent or deceptive activity.

We reserve the right, but are not obligated, to monitor use of the Service for compliance with these Terms and to investigate suspected violations. We may take any action we consider appropriate in response to a violation, including removing content, restricting features, or suspending or terminating accounts, in accordance with the suspension and termination provisions below.

5. Subscriptions, Plans, and Billing

Pumpynotes offers several subscription plans: Free, Pro, Enterprise, and Enterprise+. Paid plans may be billed on a monthly or annual basis, as selected by you at the time of purchase. The features, limits, and pricing applicable to each plan are described within the Service at the point of purchase and may be updated from time to time as set out below.

All paid subscriptions are sold and processed by Paddle.com ("Paddle"), which acts as the Merchant of Record and seller of record for those transactions. This means that Paddle, and not Pumpynotes, is the seller of the subscription to you. Paddle handles the checkout process, payment collection, billing, subscription renewals, invoicing, and the calculation, collection, and remittance of any applicable taxes, including VAT. Your purchase is therefore also subject to Paddle's own terms and conditions and privacy policy, which apply alongside these Terms. Pumpynotes never sees, processes, or stores your full payment card details; those are handled directly by Paddle and its payment partners.

Paid subscriptions automatically renew at the end of each billing period (monthly or annual, as applicable) unless you cancel before the renewal date. By purchasing a subscription, you authorize Paddle to charge the applicable subscription fee, plus any applicable taxes, to your chosen payment method at the start of each renewal period, until you cancel. You may cancel your subscription at any time through the account management or billing tools we provide, or through Paddle, with the cancellation taking effect at the end of the then-current billing period. Unless required by applicable law, fees already paid are non-refundable; any refunds that are granted are processed by Paddle in accordance with its policies and applicable consumer protection law.

We may change the prices of our plans or the features included in them. If we increase the price of a subscription you hold, we will provide you with advance notice by email or through the Service before the change takes effect, and the new price will apply from your next renewal after the notice period. If you do not agree to a price change, you may cancel your subscription before it renews; your continued use of the paid Service after a price change takes effect constitutes acceptance of the new price.

6. Free Plan and Public Beta Status

We offer a Free plan that provides access to a limited set of features at no charge. The scope, limits, and availability of the Free plan are determined by us and may be modified or discontinued at any time. Features available on the Free plan may differ from those available on paid plans.

The Service is currently provided in public beta. This means that the Service is still under active development and may contain bugs, errors, incomplete features, or other issues, and may be subject to interruptions, unexpected behavior, or changes without notice. During the public beta period, the Service is provided strictly on an "as is" and "as available" basis, without warranties of any kind.

Because the Service is in beta, we strongly recommend that you keep independent backups of any important content and data. We do not guarantee the continued availability, accuracy, or preservation of any data during the beta period, and we are not responsible for any loss of data, content, or functionality that may occur. By using the Service during the public beta, you acknowledge and accept these risks.

7. User Content and Data Ownership

You retain all ownership rights in and to the content, data, notes, calendar entries, financial records, and other materials that you create, upload, or store through the Service ("User Content"). As between you and Pumpynotes, you own your User Content, and nothing in these Terms transfers ownership of your User Content to us.

In order to operate and provide the Service to you, you grant Pumpynotes a limited, non-exclusive, worldwide, royalty-free license to host, store, copy, transmit, display, and process your User Content solely to the extent necessary to provide, maintain, secure, and improve the Service for you and any workspaces you participate in, and to perform our obligations under these Terms. This license exists only for as long as you keep your User Content on the Service and ends when your User Content is deleted, except where retention is required to comply with our legal obligations or where backups have not yet been overwritten in the ordinary course.

You are solely responsible for your User Content and for ensuring that you have all rights necessary to upload it and to grant the license above, and that your User Content does not violate these Terms, any applicable law, or the rights of any third party. We do not claim ownership of your User Content and will only access it as necessary to operate the Service, provide support, ensure security, or comply with legal obligations, as further described in our Privacy Policy. We process personal data in accordance with applicable data protection laws, including the EU General Data Protection Regulation (GDPR) and the Turkish Law on the Protection of Personal Data (KVKK).

8. Intellectual Property

The Service, including the underlying software, source code, design, user interface, text, graphics, logos, and the "Pumpynotes" name and brand, together with all related intellectual property rights, are and remain the exclusive property of Pumpynotes and its licensors. Except for the limited rights expressly granted to you in these Terms, no rights, title, or interest in or to the Service are transferred to you.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own personal or internal business purposes during the term of these Terms. This license does not permit you to copy, modify, distribute, sell, or create derivative works of the Service or any part of it, except as expressly authorized by us or permitted by applicable law.

You may not use the "Pumpynotes" name, logo, or any of our trademarks, service marks, or brand features without our prior written consent. Any feedback, suggestions, or ideas you provide to us about the Service may be used by us without any obligation or compensation to you, and you grant us a perpetual, irrevocable, royalty-free license to use and incorporate such feedback into the Service.

9. Third-Party Services

The Service relies on and may integrate with third-party services and providers, including Paddle for billing and payment processing, as well as hosting, infrastructure, and other technology providers. Your use of such third-party services may be subject to the separate terms and policies of those providers, and we encourage you to review them.

We are not responsible for the availability, accuracy, content, products, or services of any third party, nor for any acts or omissions of third-party providers. Any dealings you have with third parties through or in connection with the Service, including any payment processed by Paddle, are solely between you and the relevant third party.

If a third-party service that the Service depends on becomes unavailable, changes its terms, or ceases operation, this may affect the functionality of the Service. We will make reasonable efforts to maintain or replace affected functionality but do not guarantee that we will be able to do so.

10. Suspension and Termination

You may stop using the Service and terminate your account at any time through the account settings or by contacting us at [email protected]. If you hold a paid subscription, cancellation and any related billing will be handled as described in the Subscriptions, Plans, and Billing section above.

We may suspend or terminate your access to all or part of the Service, with or without notice, if we reasonably believe that you have violated these Terms, that your use of the Service poses a security risk or could harm us, other users, or third parties, that we are required to do so by law, or that providing the Service to you is no longer commercially viable. Where reasonable and lawful, we will give you advance notice and an opportunity to remedy the issue.

Upon termination of your account, your right to access and use the Service will cease immediately. We may delete your User Content following termination, subject to any legal retention obligations and our ordinary backup cycles. Provisions of these Terms that by their nature should survive termination, including those relating to intellectual property, disclaimers, limitation of liability, indemnification, and governing law, will continue to apply after termination.

11. Disclaimers of Warranties

To the maximum extent permitted by applicable law, the Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory. This is particularly the case during the public beta period. We expressly disclaim all implied warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Service will be uninterrupted, timely, secure, or error-free; that any defects will be corrected; that the Service will meet your requirements; or that any data or content stored or transmitted through the Service will be accurate, complete, or preserved. You use the Service, and rely on any content or results obtained through it, at your own risk.

The Service is a productivity tool and does not provide professional financial, accounting, tax, legal, or other professional advice. Any financial tracking, calculations, or information presented within the Service are provided for your convenience only and should not be relied upon as a substitute for professional advice. You are solely responsible for verifying the accuracy of any financial or other information you rely on. Nothing in these Terms excludes or limits any warranty or right that cannot be excluded or limited under applicable law.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Pumpynotes and its directors, officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, business, goodwill, or anticipated savings, arising out of or in connection with your use of, or inability to use, the Service, even if we have been advised of the possibility of such damages.

To the maximum extent permitted by applicable law, our total aggregate liability arising out of or in connection with these Terms or the Service, whether in contract, tort (including negligence), or otherwise, will not exceed the greater of the total amount you paid to use the Service, through Paddle, in the twelve months immediately preceding the event giving rise to the liability, or one hundred euros (EUR 100). Where you use only the Free plan or the public beta, our liability is limited to the maximum extent permitted by law.

Nothing in these Terms excludes or limits our liability for matters that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded. Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you, in which case our liability will be limited to the fullest extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Pumpynotes and its directors, officers, employees, and agents from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising out of or in connection with your use of the Service, your User Content, your violation of these Terms, or your violation of any applicable law or the rights of any third party.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense of that claim. You may not settle any claim that imposes any obligation or liability on us without our prior written consent.

This indemnification obligation will survive the termination of these Terms and your use of the Service.

14. Changes to the Service and to These Terms

We are continually improving the Service and may, at our discretion, add, change, suspend, or discontinue features or the Service as a whole, in whole or in part, at any time. Where a change materially reduces the core functionality of a paid plan, we will make reasonable efforts to notify you in advance and, where appropriate, offer you the ability to cancel.

We may revise these Terms from time to time to reflect changes in the Service, in our business, or in applicable law. When we make material changes, we will provide reasonable notice, for example by posting the updated Terms within the Service, updating the "Last updated" date, or notifying you by email. The updated Terms will take effect on the date indicated in the notice.

Your continued use of the Service after the updated Terms take effect constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service and may terminate your account before the changes take effect.

15. Governing Law and Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with them, their subject matter, or formation, including non-contractual disputes or claims, are governed by and construed in accordance with the laws of the Republic of Türkiye, without regard to its conflict of law principles.

Subject to any mandatory consumer protection rights you may have under the laws of your country of residence, the courts and execution offices of the Republic of Türkiye will have jurisdiction to settle any dispute arising out of or in connection with these Terms or the Service. If you are a consumer resident in the European Union or elsewhere, you may also be entitled to bring proceedings in, or benefit from the mandatory consumer protection provisions of, the country in which you reside, and nothing in these Terms affects those rights.

Before initiating any formal legal proceedings, we encourage you to contact us at [email protected] so that we can try to resolve the matter informally and in good faith. Many concerns can be resolved quickly and amicably through direct communication.

These Terms, together with our Privacy Policy and any additional terms or policies referenced within the Service, constitute the entire agreement between you and Pumpynotes regarding the Service and supersede any prior agreements or understandings. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
